Terms, Conditions of Use, and Privacy Policy for ChatShop
EDUSIM LLC., hereinafter simply referred to as CHATSHOP, with its headquarters at 244 Fifth Avenue, Suite V244, New York, NY, 10001, USA, offers, through the software, website (www.chatshop.ai) and the respective CHATSHOP application, a set of features and interactions with third parties, service providers, which enables the user, natural person(s) and/or legal entity(ies) to leverage AI-powered agents and integrations for automating and optimizing workflows, with a primary focus on intelligent scheduling, appointment booking, calendar management, and related coordination tasks, but not limited thereto.
This instrument sets forth the terms of use of the CHATSHOP SOFTWARE, as well as provides information about the policy for protecting and respecting these users’ privacy. “Users” are understood to be all persons subject to these Terms, Conditions of Use, and Privacy Policy:
USER, a natural person who directly and effectively uses the CHATSHOP SOFTWARE to access any of its products or initiatives; and/or
GENERAL USER, who, although not directly using any of CHATSHOP’s AI-powered agents or integrations—including its scheduling and workflow automation features: (b1) contracts the CHATSHOP SOFTWARE for use by a USER through an organization, team, or individual delegate; (b2) in the capacity of an administrator, coordinator, or third-party facilitator of scheduling or operational workflows, uses or configures the CHATSHOP SOFTWARE; or (b3) as an authorizing party, permits the use of the CHATSHOP SOFTWARE on behalf of others.
Please read carefully and accept the conditions set forth below so that you can make full use of the features provided by the CHATSHOP SOFTWARE.
If you or your guardian register, access, and/or use the CHATSHOP SOFTWARE in any way or for any period of time, including browsing, viewing, downloading content, uploading data, generating, receiving, and/or transmitting any data, information, or messages to or from the system, the relationship is governed by these Terms, Conditions of Use, and Privacy Policy.
If you or your guardian do not agree with any of the provisions of these Terms, Conditions of Use, and Privacy Policy, you or your guardian may choose not to use our services, or select data processing options, which may result in reduced functionality that will be communicated in due course.
1. OF THE SERVICES PROVIDED BY CHATSHOP
1.1. CHATSHOP owns the customizable software “CHATSHOP SOFTWARE” designed to support the USER in leveraging AI-powered agents and integrations to automate and optimize operational workflows, with primary applications including intelligent scheduling, appointment booking, calendar management, and related coordination tasks, but not limited to them, by: granting access to agent interfaces and integrations; and enabling the configuration and execution of automated tasks tailored to the user’s operational context.
1.2 The CHATSHOP SOFTWARE allows the USER direct access to AI-powered agent interfaces and integrations for automating and optimizing operational workflows, with emphasis on intelligent scheduling, appointment booking, calendar management, and related coordination tasks, but not limited to them, and may include initiatives (e.g., targeted automation campaigns), products, or services developed or to be developed by CHATSHOP. In the case of paid products and services, a Service Provision Agreement will be entered into between the USER and CHATSHOP, which will govern the terms of compensation.
1.3 The use of the CHATSHOP SOFTWARE by the USER occurs through native channels within the CHATSHOP SOFTWARE and/or via the use of other partner digital communication tools, such as WhatsApp, WeChat, TikTok, Microsoft Teams, Facebook Messenger, Google Hangouts, Instagram, among others. For use of the CHATSHOP SOFTWARE, the USER and, where applicable, the GENERAL USER must comply with the terms of use and policies of each of those services, and it is solely the responsibility of the USER and, where applicable, the GENERAL USER to review and agree to them.
1.4 The license granted is temporary, revocable, non-transferable, non-exclusive, and non-sublicensable, permitting the USER access to any update of the CHATSHOP SOFTWARE.
2. GENERAL TERMS OF USE
2.1. To become a USER and thereby use the CHATSHOP SOFTWARE, a natural person must:
be 18 (eighteen) years of age or older; or
be under 18 (eighteen) years of age, and have their guardian, in the capacity of GENERAL USER, agree to these Terms, Conditions of Use, and Privacy Policy on their behalf. To enable such agreement, the minor may optionally complete a form providing the following information about their parent or guardian: name, phone number, email address, and degree of kinship. This information is used exclusively for the purpose of sending an email and/or SMS to the parent or guardian to obtain the required consent, which permits the use of the CHATSHOP SOFTWARE.
2.2 If the GENERAL USER is a legal entity, the GENERAL USER must be duly represented by a natural person with authority to act on its behalf as authorized in the corresponding governing document or applicable rule.
3. OBLIGATIONS OF THE USER AND THE GENERAL USER
3.1. The obligations of the USER and the GENERAL USER, whether or not using the CHATSHOP SOFTWARE and/or its direct or indirect features, are to:
use the CHATSHOP SOFTWARE personally and under their own responsibility, exclusively in accordance with its purposes, technical requirements, minimum hardware specifications, and required connection speed;
keep credentials for accessing the system protected, under their sole and full responsibility;
not use the CHATSHOP SOFTWARE in an unlawful, obscene, injurious, slanderous, defamatory, threatening, intimidating, harassing, hateful, racially or ethnically offensive manner, or in any way that instigates or encourages conduct that is unlawful, inappropriate, and/or immoral;
be solely responsible for the data and information provided and stored in the software’s database, and, when necessary, promptly make any required updates, being liable for supplying false information, whether ideological or documentary;
be responsible for any legal violation, including criminal, civil, consumer protection, or copyright infringement, committed as a result of or through improper use of the CHATSHOP SOFTWARE and/or based on information obtained through its use;
not sell, sublicense, rent, lease, lend, give, dispose of, assign, or otherwise transfer, in whole or in part, for consideration or free of charge, the use of the CHATSHOP SOFTWARE to any unauthorized third parties;
not remove copyright notices, the privacy policy, or any other proprietary notices contained in the software, nor perform reverse engineering, alter, modify, create derivative works, and/or decompile any aspect of the CHATSHOP SOFTWARE;
not introduce viruses, malware, or any software/code that could damage the CHATSHOP SOFTWARE and/or other users, nor seek or disclose information contained in the databases;
fully comply with the terms and conditions of use, privacy policies, and other rules and regulations governing any applications used in conjunction with and/or as a result of using the CHATSHOP SOFTWARE;
when applicable, be fully and exclusively responsible for any payment due for services rendered by CHATSHOP, in accordance with the Service Provision Agreement.
3.2 The total or partial breach of any of the USER’s obligations under these Terms, Conditions of Use, and Privacy Policy may result in the immediate modification, suspension, or termination of access to the CHATSHOP SOFTWARE, without prejudice to the offending party being subject to appropriate civil and criminal actions, if applicable.
4. THE USER’S OBLIGATIONS
4.1. The specific obligations of the USER, or their guardian where applicable, are to:
act in a manner that preserves the integrity and scope of the digital platform provided, in particular by maintaining cordial and respectful interactions with third parties and complying with the laws in force in the respective jurisdictions;
not be replaced by third parties in performing authorizations, assessments, sessions, or conversations under any circumstances;
provide truthful and complete information in their registration data, especially regarding age and identity and, when applicable, banking and financial information, and, when required, be assisted or represented by their guardian;
be solely responsible for possessing and maintaining the material and technological means necessary to access the functionalities and workflows enabled—directly or indirectly—by the CHATSHOP SOFTWARE;
be solely responsible, including civilly and criminally, for the content of conversations conducted and/or images exchanged when using any of the features of the CHATSHOP SOFTWARE.
5. OBLIGATIONS OF CHATSHOP
5.1. The specific obligations of CHATSHOP are to:
make available and continually expand an intact digital platform that ensures current and prospective USERS access to updated content consistent with best practices for leveraging AI agents and integrations to automate and optimize workflows, with primary applications including intelligent scheduling, appointment booking, calendar management, and related coordination tasks, but not limited to them;
insofar as applicable, strive to remain appropriate and up to date with relevant standards or frameworks in the jurisdictions where its services are embedded;
not disclose, transfer, provide, or assign, under any title, any data and/or information of the USER contained in its databases, except as authorized herein or by further consent granted by the USER or GENERAL USER and/or by specific court order;
comply with all applicable terms of relevant Brazilian legislation governing the sector.
5.2. CHATSHOP uses its best efforts to provide an integral and continuous service. However, it acknowledges the possibility that its software and/or related/partner third-party software may contain errors, bugs, potential interruptions, failures, or may not be compatible with any specific hardware or software, with the USER and GENERAL USER recognizing that the software may be unavailable for various reasons, including but not limited to periodic system maintenance (scheduled or unscheduled), technical failures, force majeure or fortuitous events, communication infrastructure issues, viruses, malware, and similar causes, without any possibility of holding CHATSHOP liable for any such intermittency, including with respect to lost profits or other damages of any kind.
6. DYNAMICS OF THE SERVICES
6.1 The USER and GENERAL USER of the CHATSHOP SOFTWARE may, at any time, including in the future, before or after the execution of any activity, enter into service provision agreements with CHATSHOP or third-party partners that guarantee access to AI-powered agents, integrations, and related products or services provided by CHATSHOP or such partners, which will define the scope of the engagement, its objectives, duration, and, where applicable, any compensation.
6.2 With the goal of expanding the USER’s operational capabilities via AI, CHATSHOP may offer automation programs (prebuilt workflows, templates, intelligent assistants, training modules, and/or various content); encourage the configuration and execution of individualized automated tasks; create group- or team-specific automation setups; enable coordinated interactions across communication channels tailored to each USER’s context and goals; and promote initiatives such as efficiency challenges, productivity campaigns, or featured automation events to drive broader adoption and optimization of AI-enabled scheduling and workflow coordination.
7. USER AND GENERAL USER PRIVACY
7.1. CHATSHOP maintains a conduct of high and unrestricted respect for the intimacy, privacy, and, above all, the confidentiality of the information and data of its USER and GENERAL USER, which will only be processed, including disclosed to third parties, upon express authorization or by specific court order, in accordance with applicable law.
7.2. No information or sensitive personal data will be requested from the USER or the GENERAL USER that is not specified in these Terms, Conditions of Use, and Privacy Policy.
7.3. When using and accessing the CHATSHOP SOFTWARE, certain information and personal data may be requested, depending on the type of USER and GENERAL USER:
a) For the USER, in the capacity of an individual leveraging AI agents for scheduling, coordination, or workflow automation, the following may be collected: name, phone number, email, organization or affiliation, role/title, calendar and availability metadata (including access tokens if authorized), scheduling preferences, meeting history, conversation transcripts with agents, task/workflow configuration data, and usage analytics (e.g., actions taken, success/failure of automations, frequency of use). Technical and device-related information may also be collected as needed, such as hardware model, operating system version, browser or client identifiers, network context, and other product-unique telemetry that supports functionality, reliability, and diagnostics.
b) For the GENERAL USER: (b1) In the capacity of administrator, coordinator, or delegating party, the following are collected: name, phone number, email, organization, role, and any authorization relationships to the underlying USERs. Optional contextual information may also be collected via voluntary input, such as team size, typical meeting volume, preferred workflow patterns, efficiency goals, and other qualitative data that help tailor automation and scheduling behavior. (b2) In the capacity of facilitator or manager of operational workflows, similar identifying and role-related data are collected, including the systems they oversee, the scope of coordination responsibility, and performance metrics related to the automations they configure or monitor.
7.4. The information and data obtained may be processed with the primary purpose of better understanding the needs of actual and potential USERS, always with a view to assessing the effectiveness of the AI-powered agents and integrations and improving and expanding the CHATSHOP SOFTWARE. CHATSHOP may process the information for the following additional purposes:
to facilitate your identification and access to the CHATSHOP SOFTWARE and connected automation interfaces;
to enable interactive and adaptive behavior between the USER/GENERAL USER and the CHATSHOP SOFTWARE, delivering personalized scheduling, workflow automation, and coordination experiences;
to conduct relationship and usage analytics with the USER and GENERAL USER to inform outreach about other services, features, or partner offerings that may enhance their operational workflows;
to support the creation, testing, and development of new AI-driven services, automation templates, agent capabilities, and integrations to be offered by CHATSHOP;
to enable the personalization of recommendations, notifications, and sponsored content from CHATSHOP’s commercial partners and collaborators, in compliance with applicable laws regarding minors and in accordance with clause 8 of these Terms and Conditions of Use and Privacy Policy;
to generate aggregated and anonymized statistics measuring the effectiveness, engagement, and reach of automations, recommendations, and partner content, which may be shared with third parties, collaborators, or partners of CHATSHOP; and
to provide support and troubleshooting services to assist the USER and GENERAL USER in their use of the AI agents and related workflows.
7.5. CHATSHOP preserves the privacy of the USER’s and GENERAL USER’s data and undertakes not to share information or personal data with third parties except with express authorization, in which case sharing will occur under the following circumstances:
sharing data with an administrator, delegate, organization, or coordinating party based on dashboards, reports, or workflow plans that allow oversight of performance and progress of the USER and GENERAL USER;
sharing aggregated or de-identified usage data with commercial partners to support their business development, operations, and co-marketing activities;
sharing information with service providers, contractors, or vendors who perform services on CHATSHOP’s behalf (e.g., infrastructure, analytics, support);
sharing data for legal compliance or pursuant to a court order.
7.6. CHATSHOP does not share raw conversation transcripts or sensitive audio recordings generated during agent interactions except as required for support with explicit user consent or as otherwise disclosed in a separate consent flow.
7.7. Data processing may occur for up to 10 years from the USER’s and GENERAL USER’s last access, for the purpose of improving the CHATSHOP SOFTWARE, its AI agents, and the overall user experience. After that period, personal information and data will be deleted from the systems, subject to any legal retention obligations.
7.8. CHATSHOP does not track general web browsing activity of USERS outside of its platform nor collect data about sites visited via their browser or IP address beyond what is necessary for the operation, security, and diagnostics of the CHATSHOP SOFTWARE.
7.9. CHATSHOP stores the personal information and data collected about the USER and GENERAL USER of the software on a secure remote server, encrypted, password-protected, and accessible only by authorized personnel. However, no electronic storage method is completely secure. Therefore, despite reasonable efforts to protect the collected information, absolute security of data entered into the platform cannot be guaranteed. CHATSHOP’s liability is limited to that arising from information security incidents.
7.10. CHATSHOP may use its own or third-party APIs to process user inputs (including voice or audio commands, conversation transcripts, and scheduling preferences) in order to evaluate interactions with AI agents and continuously improve the product offering. Currently, CHATSHOP may leverage services such as: (a) speech-to-text and language understanding APIs (e.g., Google Cloud Speech-to-Text, Microsoft Azure Speech Services, Amazon Transcribe or their successors), each governed by their respective Terms of Use and Privacy Policies; and (b) other AI/ML inference or orchestration services used to power intelligent scheduling, recommendation, and workflow automation.
7.11. The GENERAL USER gives specific consent to the terms of this clause to permit the processing of their own data for administration, delegation, oversight, or coordination purposes, including:

Role/title
Contact number
Authorization relationships to underlying USERS
When the GENERAL USER acts on behalf of or as a delegating party for another USER (e.g., a team lead or coordinator), the following data about those subordinate USERS may also be processed to enable oversight and workflow coordination:
Full name
Organizational affiliation or team
Role or responsibility scope
Interaction and usage summaries (e.g., scheduled meetings, automation performance)
High-level progress metrics (aggregated, not raw sensitive content)
8. COMMUNICATION, PROMOTION, AND ADVERTISING
8.1. CHATSHOP may send product updates, operational insights, feature announcements, and/or content related to its AI-powered agents, scheduling and automation capabilities, or those of its commercial partners and collaborators to a USER over 18 years old or, in the case of minors, to the GENERAL USER who opts to receive them. Some communications may include voluntary feedback or usage surveys. The USER may unsubscribe at any time to stop receiving such communications.
8.2. CHATSHOP commits to complying with applicable law regarding advertising and personalized recommendations directed to minors and other protected groups, only delivering—via the CHATSHOP SOFTWARE—advertisements, offers, sponsored content, or partner promotions that adhere to relevant legal and ethical standards.
9. RCS/SMS MESSAGING TERMS
Program Description. By opting in, you agree that CHATSHOP may send you RCS (Rich Communication Services) and/or SMS/MMS messages related to account notices, scheduling/appointment updates, reminders, authentication, and service announcements. If you separately consent to marketing, we may also send occasional promotional messages. Messages may be delivered via RCS when supported by your device/carrier, with automatic fallback to SMS/MMS when RCS is unavailable.
Opt-In Methods. You may enroll by (i) checking a consent box on our site, (ii) replying with a designated keyword or tapping an RCS “accept” prompt, or (iii) providing your number to our team and explicitly authorizing messaging. Your consent is not a condition of purchase.
Message Frequency. Message frequency varies by user activity and preferences. For transactional updates, frequency depends on your interactions (e.g., appointment confirmations/changes). Marketing messages are sent only if you opt in and may vary.
Cost. Msg & data rates may apply.
How to Opt Out. You can cancel any time. Text STOP (or CANCEL, END, UNSUBSCRIBE, or QUIT) to the message sender to stop all further messages from that program. You will receive one final message confirming your opt-out, after which you will no longer receive messages unless you re-enroll.

Eligibility. You represent that you are 18+ (or have parental/guardian consent, as applicable) and are the subscriber or customary user of the phone number provided.
Carriers. Participating carriers (and support for RCS) vary by network/device and are not liable for delayed or undelivered messages. Service availability may change without notice.
Your Responsibilities. You must provide a valid mobile number, keep your contact details current, and promptly notify us of any number changes (e.g., reassignment). You agree not to use the program for unlawful purposes and to comply with carrier/CTIA rules.
Privacy. We process your mobile number, opt-in/opt-out status, consent information, and messaging interaction metadata to operate the program, maintain suppression lists, and meet compliance obligations. See our Privacy Policy and the RCS/SMS Messaging Privacy Addendum below for details.
Changes. We may modify or suspend the program or these terms at any time. Material changes will be communicated as required by law or carrier policy. Continued participation constitutes acceptance of any changes.
10. FINAL PROVISIONS, JURISDICTION, AND APPLICABLE LAW
10.1. CHATSHOP reserves the right to unilaterally amend these Terms, Conditions of Use, and Privacy Policy without prior notice, committing to notify the USER and the GENERAL USER of any such changes.
10.2. Tolerance of any breach of any obligation or provision of these Terms, Conditions of Use, and Privacy Policy does not imply novation, waiver of the right to enforce the obligation, or derogation of any of its terms.
10.3. Any declaration of nullity of any of its terms does not affect the validity of the remaining provisions.
10.4. These Terms, Conditions of Use, and Privacy Policy are governed by the prevailing laws of the United States of America.
